Obviously the hype has added some disparities to that logic.

Typically after spinoffs involving large caps there is forced selling by institutional holders who owned the legacy company.  The new SpinCos often do not align with fund mandates on size, strategy, sector and are immediately sold driving down prices.  Spin-off investing was a lucrative strategy for a many years.  Joel Greenblatt had a nice write up on the opportunity.
