At the beginning of the deal I had read that he had waived his due diligence.  Kind of like making an offer on the house but waving the right for an inspection , if you find problems with the foundational you’re shit out of luck.

I don’t see anything in this filing that allows him to back out with regards to bots and there seems to be a penalty of 1 billion if he does.  I’m sure wsj will comment tomorrow. 

fraud and misrepresentations by Twitter would seem  to negate any such waiver

if he had waived due diligence, why has his team been doing due diligence of the bot accounts?

if he waived due diligence, they would have went straight to closing

I’ve done a fair amount of M&A (admittedly no where near the $43B level), but I’ve never heard of ‘waiving diligence’.  If that had happened, why didn’t they close the deal within two weeks?  There’s nothing much else to do  aside from fairly routine legal docs.
